Before applying for any services from us, you are required to read carefully this document. These Terms and Conditions (as may be changed from time to time, as described below, the “T&Cs”) will govern your relationship with us from start to finish. Once you’ve submitted your application to acquire from us any of our services offered in our web-site (“Services”), it means that you have accepted and agreed to the T&Cs.

Keep in mind that we may be required to make certain changes to the T& Cs so that they accurately reflect our Service and policies. Any such changes will become effective upon their website posting. You are encouraged to periodically check if you’re viewing the latest version of these T&Cs. Simply take a peek at the “Last modified” entry located at the bottom of this document. General

Before the commencement of the Services, we shall provide you with a project overview which lists the Services we (or any of the subcontractors we select) will provide, the scope of work and timeline for execution and payment terms. Should you have any requests with respect to any of the details provided, you are required to let us know before we initiate the Services, so we will be able to update our offer to the extent such request are acceptable to us.

For the project to succeed your continuing cooperation is required. Therefore we suggest that you will assign a representative to be in direct contact with our team during the provision of Services to communicate, meet monthly, and provide us with information, as necessary to complete the project. Change Requests to the project overview which may impact the services and price may be exchanged and agreed upon at any time. We strive to respond to change requests within 10 days or as otherwise agreed – Please keep in mind that requested changes may very well entail additional work and charges. We specifically note that any changes to commitment period and/or the scope of work chosen of the Services ordered by you are subject to at least a 60 day prior notice.

Charges and Payment Terms

Invoicing is made by us (in $USD) before the commencement of the project, and at the beginning of every calendar month for which Services are provided and Services related out of pocket expenses at the rates detailed as part of the ordering process which are applicable to the Services chosen by you. You are required to pay us within ten (10) days of your receipt of our invoice.

Liability

You should be aware that our Services are provided AS-IS and that our only obligation towards you with respect to any issues with our Service is to use commercially reasonable efforts to amend the applicable work provided to you as part of the Services (in consideration for payment by you at the rates agreed upon).

Termination

You may terminate our Services at any time by providing 60 days prior written notice to us and provided that you shall pay us in full the amounts due by you under the applicable outstanding order of Services.

Confidentiality; IP  

Don’t worry, we don’t share your non-publicly available confidential information with any party unless required to do so to provide our Services to you, or fulfill our legal duties as agreed between us.

As part of our Services we may develop or assist in developing intellectual property. Any such intellectual property developed by us during and in connection with the Services shall belong to you (provided that you will comply with the provisions of this T&Cs and any work order, including provision of payments when due.

Notwithstanding the foregoing, please note that as part of the Services we may use certain of our “Library Codes” (i.e., certain source codes developed by or for us prior to the provision of Services to you and/or outside of the scope of performing the Services). By using such Library Codes, we are able to reduce costs for you and expedite our working process for your benefit. Although we will retain all rights in and to the Library Codes (including all related intellectual property rights), in order for you to be able to use such Library Codes we grant you with a limited, world-wide, non-exclusive, non-transferable, non-sub licensable, royalty-free, license to use such used Library Codes included as part of the Services deliverables provided by us.

We may use certain “Free and Open Source Software” or “FOSS” as part of the Services provided by us, however, any such use shall be made in coordination with you.

Miscellaneous

As the persons actually providing the Services on our behalf are with great experience and capabilities, you undertake that for as long as we are providing you Services and for a year thereafter you will not, employ or otherwise engage (or make any offer in that respect) any of our employees or other persons engaged with us which are related in any way to the provisions of Services hereunder or otherwise.
